Ras Al Khaimah Economic Zone business setup
KGRN Chartered Accountants provides professional guidance for company formation in RAKEZ, the Ras Al Khaimah Economic Zone in Ras Al Khaimah, UAE. From our office in Dubai, we help founders, traders and manufacturers plan their RAKEZ business setup: choosing between free zone and non-free zone licences, selecting activities and a facility, and preparing the documents RAKEZ requires.
Every RAKEZ company submits audited financial statements within six months of its year end, so we also plan the bookkeeping, Corporate Tax and VAT that follow from day one.

Overview
RAKEZ company formation is the process of setting up a company with the Ras Al Khaimah Economic Zone, either as a free zone company (FZ-LLC) or branch, or as a non-free zone company, and obtaining a licence for approved activities from the RAK Economic Zone Authority in Ras Al Khaimah.
Unlike most UAE free zones, RAKEZ forms both free zone and non-free zone (mainland) entities. It is separate from RAK ICC, the emirate's offshore registry; for that route, see our offshore company formation guide.
Most RAKEZ free zone companies are FZ-LLCs with one to fifty shareholders, at least one director and a manager. The company leases a RAKEZ facility and renews its licence each term.
Activities decide the licence type, whether a flexi facility is enough and whether another authority must approve the business before RAKEZ licenses it.
Free zone and non-free zone licences reach different customers, and each licence type limits which activities you can combine. Changing route later means amendments.
Key considerations
RAKEZ appeals to cost-conscious founders, manufacturers and traders who want a UAE licence outside Dubai. Each point below depends on RAKEZ's current packages and authority requirements.
The emirate's seaports, including Saqr Port, and its international airport support trade and industry.
An FZ-LLC or a branch, governed by the RAKEZ Companies Regulations 2023.
Full foreign ownership in the free zone, and owners need not be UAE residents.
Ten licence categories, from commercial and industrial to e-commerce, media and a freelancer permit.
Online licensing channels, with government services available in one place.
Eligibility follows the facility; flexi facilities cover investor, partner and manager visas.
Flexi desks and offices, standard and executive offices, warehouses and land for development.
Manufacturing, trading and service clusters across RAKEZ's industrial and business zones.
Suitability
RAKEZ suits founders who want a cost-conscious UAE base, manufacturers who need industrial land or warehouses, and businesses whose customers are mainly in the free zone or abroad.

RAKEZ licences work in three ways, depending on where your customers are.

Free zone licence plus a RAK DED branch licence. Trade on the Ras Al Khaimah mainland from the same facility.
Establishment, LLC or branch. A mainland entity formed through RAKEZ.
RAKEZ and RAK DED introduced the dual licence in January 2022.

Facility requirementsFlexi facility, office, warehouse or land.

Each licence category limits how many activities you can combine, and some activities need approval from another UAE authority first. We check this before you apply.
Process
RAKEZ describes its process in three stages: customise your package, submit the application and documents, and receive your licence. Visas and compliance follow. Timing depends on your documents and any approvals, so treat any timeline as an estimate.

Documentation
RAKEZ asks every applicant for passports and a UBO declaration. Corporate shareholders and branches add documents proving the parent company's existence and authority.
| Document or information | Individual shareholder | Corporate shareholder | Branch of a company |
|---|---|---|---|
| Colour passport copies | Shareholders, manager and directors | Manager and directors | Branch manager |
| UAE visa copy or entry stamp, and Emirates ID if resident | Required | For officers | For the branch manager |
| Registration and Chamber of Commerce applications | Required | Required | Branch registration application |
| UBO declaration form | Required | Required | Required |
| No objection certificate from a current sponsor | If UAE resident | For a UAE-resident manager | For a UAE-resident manager |
| Business plan | For specific activities | For specific activities | For specific activities |
| Resolution to establish the company or branch | Not needed | Shareholder or board resolution | Parent company resolution |
| Trade licence, register extract, memorandum and articles | Not needed | Required | Required, for the parent |
| Certificates of good standing and incumbency | Not needed | Required | Required, for the parent |
Exact documentation requirements can vary depending on the company structure, business activity, shareholder profile and current authority requirements.
Corporate documents issued abroad usually need legalisation. Some activities also need a DNFBP form or approvals from other authorities.
Cost
There is no single fixed price. RAKEZ sells customisable packages, and the total depends on the factors below. The map shows which costs arise at setup, which recur, and what drives each one.
| Cost factor | At setup | Every year | Depends on |
|---|---|---|---|
| Licence fees | Licence category, and a one- or three-year term | ||
| Registration charges | Legal form, free zone or non-free zone | ||
| Business activity | The number and type of activities | ||
| Office or facility requirements | Flexi facility, office, warehouse or land | ||
| Visa requirements | How many people need visas, and renewals | ||
| Additional approvals | Regulated activities only | ||
| Professional service fees | The scope of advisory and ongoing support | ||
| Other authority charges | Amendments, certificates and late renewals | ||
| Audit and accounting | Transaction volume and complexity |
Some free zone licences, such as commercial, service, general trading, individual/professional and e-commerce, can be issued for three years at discounted rates, subject to RAKEZ's terms.
Share your activities, customers and visa plans, and we will show which licence route, facility and cost items apply before you commit.
Comparison
A RAKEZ free zone company is licensed by the RAK Economic Zone Authority in Ras Al Khaimah; a Dubai mainland company is licensed by Dubai's Department of Economy and Tourism (DET) and trades directly across the UAE. The right choice depends on your customers, budget and facility needs.
| Factor | RAKEZ free zone | Dubai Mainland |
|---|---|---|
| Business structure | FZ-LLC or branch, under the RAKEZ Companies Regulations 2023. | Commonly an LLC, sole establishment or branch, registered with DET. |
| Licensing | Ten licence categories, for one year or, for some, three. | Issued by DET, with added approvals for regulated activities. |
| Ownership | Full foreign ownership; owners need not be UAE residents. | Full foreign ownership is permitted for many activities; some remain restricted. |
| Office requirements | A RAKEZ facility, from a flexi desk to a warehouse or land. | Registered premises, usually with an Ejari tenancy contract, depending on activity. |
| Market access | Free zone and international business. RAK mainland trade needs a dual licence or a non-free zone company. | Can trade directly across the UAE, including with government entities, subject to their requirements. |
| Visa considerations | Linked to the facility; flexi facilities cover investor, partner and manager visas. | Depends on eligibility, business premises and approvals. |
| Annual audit | Audited statements to RAKEZ within six months of year end, by an approved auditor. | Depends on the legal form and tax position; confirm case by case. |
| Corporate Tax | A Qualifying Free Zone Person (QFZP) may apply 0% to qualifying income if every condition is met. | 0% on taxable income up to AED 375,000 and 9% above that. |
This comparison is general; confirm current rules before deciding. See also our mainland company formation in Dubai service, or compare other zones on our free zone business setup page.

2026 to 2027

Avoid rework
RAKEZ gives you more licence routes than most free zones, which makes the first decisions more important.
An activity outside your licence category, or one needing approval, delays licensing and banking.
A free zone licence alone does not cover mainland trade; consider a dual or non-free zone licence.
Flexi facilities cover investor, partner and manager visas, so plan space for the staff you expect to hire.
Industrial activities usually need a warehouse or land, not a flexi desk.
Renewals, visas, rent and the annual audit recur every year.
Audited statements are due to RAKEZ within six months of year end, which needs monthly books.
Late registration brings penalties, and non-free zone companies pay the standard Corporate Tax rates.
Licence routes, audit rules and mainland access differ between RAKEZ and Dubai's free zones.
RAKEZ updates packages, activity lists and procedures, so rely on current information.

Ask a question through our contact pageRAKEZ, the Ras Al Khaimah Economic Zone, is a government economic zone in Ras Al Khaimah, run by the RAK Economic Zone Authority under Law No. 2 of 2017. It forms free zone and non-free zone companies across five zones and reports more than 50,000 companies.
Choose your activities, licence category and facility, then submit RAKEZ's registration application with passports, UBO declarations and any corporate documents. After approval, you sign the memorandum and lease, pay the fees and receive the licence. Visas and banking follow.
There is no single price. RAKEZ sells customisable packages, and the total depends on the licence category and term, activities, facility, visas, approvals and professional fees. Renewals and the annual audit recur, so budget beyond the first year.
Individual shareholders usually provide colour passport copies, a UAE visa copy or entry stamp, an Emirates ID if resident, a UBO declaration and, where needed, a sponsor NOC. Corporate shareholders and branches add a resolution, trade licence, memorandum, register extract and good standing certificate.
Yes. A RAKEZ free zone company can be fully foreign-owned, and RAKEZ states that owners do not need to be UAE residents. Ownership rules for non-free zone companies depend on the activity, and every owner passes RAKEZ's compliance checks.
RAKEZ offers ten licence categories, including commercial, general trading, industrial, service, professional, e-commerce, media and educational licences and a freelancer permit, in free zone and non-free zone versions. Some activities need approval from another UAE authority.
Yes, subject to eligibility. RAKEZ processes entry permits, medicals, Emirates ID and residence visas for its companies. Eligibility depends on the facility: flexi facilities cover investor, partner and manager visas, so larger teams need office or warehouse space.
You need a RAKEZ facility, but for commercial, service and general trading licences it can be a flexi desk or shared office. Industrial activities usually need a warehouse or land, and more visas may require more space.
A RAKEZ free zone company serves the free zone and international markets, while a Dubai mainland company, licensed by Dubai's Department of Economy and Tourism, trades directly across the UAE. RAKEZ clients can reach the Ras Al Khaimah mainland through a dual licence or a non-free zone company.
Yes. Every RAKEZ company must register with the Federal Tax Authority, within three months of incorporation if formed on or after 1 March 2024. Free zone companies may qualify for 0% on qualifying income, while non-free zone companies pay the standard rates.
Only once it crosses a threshold: registration is mandatory when taxable supplies and imports exceed AED 375,000 over 12 months, or are expected to within 30 days, and voluntary above AED 187,500. Some RAKEZ industrial zones are VAT designated zones, which affects certain goods supplies.
Yes. RAKEZ requires every company to submit audited financial statements within six months of its financial year end, prepared by a RAKEZ approved auditor. A Qualifying Free Zone Person also needs audited statements for Corporate Tax.
