The role
What do DIFC approved auditors do?
The right starting point is your business, not a generic audit package: what the entity does, how it is structured, who uses its financial statements and which obligations apply.
They independently examine financial statements and issue an auditor’s report under the applicable framework. Where a DIFC entity requires an audit, auditor eligibility must be checked against the relevant official register and the entity’s regulatory status.
An audit provides reasonable assurance about whether financial statements contain material misstatements.
Its value also lies in the reporting matters and significant findings discussed with management.
Requirements
DIFC audit requirements: does your entity need an audit?
Not every DIFC entity has the same obligations. Review the legal form, regulatory status, size and constitutional documents before deciding whether a statutory audit is required.
Private companies
Private companies and the small-company exemption
≤ USD 5MConsolidated annual turnover
≤ 20Shareholders throughout the year
The Companies Law exemption generally requires both consolidated annual turnover of no more than USD 5 million and no more than 20 shareholders throughout the year. The tests cover the current and preceding financial year where applicable. Articles of Association and qualifying shareholder requests can change the outcome.
Being exempt from a DIFC statutory audit does not automatically remove accounts-preparation, filing, tax or contractual obligations.
Holding structures
Holding companies, SPVs and foundations
A passive structure is not a blanket exemption. Check the rules for the specific vehicle, its activities, ownership and reporting obligations. Identify the accounts needed before commissioning an audit or assuming one is unnecessary.
Regulated entities
Entities with additional regulatory requirements
DFSA requirements can add separate auditor-eligibility and reporting obligations. Confirm the relevant category before applying a private-company exemption or agreeing a service scope.
DIFC audit deadline: plan the work before the filing date
For companies subject to the relevant Companies Law provisions, preparation, approval, audit and shareholder circulation are generally required within six months of year-end, with filing within 30 days of circulation.

DIFC audit services: define the work your business needs
Select a service to see what it covers and what you receive.
Annual financial statement audit
An independent financial statement audit examines the accounts and supporting evidence, focuses on material reporting risks and concludes with an auditor’s report. The engagement is tailored to the entity’s operations and reporting framework, subject to eligibility and acceptance.
DeliverablesAudited financial statements and an independent report for the agreed period, following completion of the necessary audit work.
Missing reconciliations, unresolved opening balances and incomplete schedules can delay fieldwork. KGRN reviews the availability of core information at planning stage and explains what management needs to prepare or resolve.
DeliverablesAn initial document request, identification of readiness gaps and a proposed timetable with the key dependencies explained.
Financial reporting and IFRS matters
Revenue recognition, leases, investment valuations, impairment and related-party disclosures can require particular attention. We discuss the material accounting judgements relevant to your statements and the evidence needed to support them.
DeliverablesReporting matters raised with management and their treatment considered within the agreed engagement. Any separate accounting advice is subject to independence requirements.
Group and holding-company reporting
Multi-entity structures can involve consolidation schedules, intercompany balances, foreign currencies and investment carrying values. We discuss local reporting needs and any instructions from a group auditor before defining the work.
DeliverablesThe agreed entity audit and any separately scoped group reporting package or coordination work.
First audit and change of auditor
For a first engagement, we consider opening balances, the reporting period and available evidence. A provider change may also involve predecessor communication and appointment or cessation documentation.
DeliverablesAn onboarding plan and clarity on the information and approvals required before fieldwork begins.
DIFC accounts filing support
KGRN can help your authorised team prepare the agreed audit documents for the annual accounts request and understand the filing requirements. Portal support and appointment documentation are defined in the proposal rather than assumed to be included.
DeliverablesThe agreed reporting package and practical submission guidance. Management remains responsible for its accounts, approvals and company filings.
Why speak to KGRN when comparing DIFC approved auditors?
A useful proposal should make responsibilities clear before you compare fees.
A documented professional credential
KGRN Chartered Accountants LLC holds UAE Ministry of Economy auditor registration LC4422-01. This credential is distinct from the entity-specific registration required for a DIFC engagement.
Established business support
KGRN has supported businesses since 2007 across audit, assurance, accounting, tax and advisory. Learn more about KGRN.
Scope explained before work begins
Discuss what is included, what your team needs to provide and which additional services require a separate engagement. A useful proposal should make those responsibilities clear before you compare fees.
Accounting and tax expertise when needed
Where the business needs support beyond its audit, KGRN can assess the appropriate service and independence position. You retain responsibility for management decisions and the underlying financial statements.
Each is scoped separately from the independent audit.
Accounting and bookkeeping
Maintain organised ledgers, bank reconciliations and supporting schedules throughout the year. If records are incomplete, discuss the accounting work needed to bring management’s accounts up to date. Any service alongside an audit is assessed for independence and conflicts.
A DIFC audit exemption does not settle the Corporate Tax audit position. KGRN can separately assess the relevant tax treatment, adjustments, related-party arrangements and return requirements. Audited accounts alone do not establish eligibility for a 0% tax rate.
Differences between VAT returns and your accounting records need explanation. A separate review can help investigate discrepancies, check the supporting records and identify the appropriate action.
Recurring issues with authorisations, cash, purchasing or reporting processes may need a deeper review. Internal audit examines the agreed controls and risks; it serves a different purpose from the independent financial statement audit.
Free zone tax note: Qualifying Free Zone Persons must prepare and maintain audited financial statements under Ministerial Decision No. 84 of 2025, applicable to tax periods beginning on or after 1 January 2025.

Fees and timing
What affects DIFC audit fees and completion time?
A meaningful quotation starts with those facts.
Fees
Transaction volumesBusiness complexityInvestmentsRelated-party dealingsGroup reportingQuality of accounting records
Fees depend on transaction volumes, business complexity, investments, related-party dealings, group reporting and the quality of the accounting records. Specialist or regulatory assurance work requires its own scope and eligibility assessment.
The timetable depends on reconciliations, supporting evidence, external confirmations, reporting queries and management approvals. A meaningful quotation starts with those facts.

Tell us: your entity type, regulated or non-regulated status, financial year-end, business activity, approximate transaction volume and whether the books are up to date.
No. The answer depends on the legal structure, applicable exemption and regulatory obligations. Review the entity’s full position rather than relying on turnover alone.
Does an audit exemption mean we can stop preparing accounts?
No. An audit exemption does not remove every accounting or reporting obligation. Check accounts preparation, annual filing and tax requirements separately.
Is LC4422-01 KGRN’s DIFC registration number?
No. It is KGRN’s UAE Ministry of Economy auditor registration entry number. Eligibility for a particular DIFC engagement must be checked separately against the applicable register.
Can I appoint any UAE-registered auditor?
No. Confirm the registration required for your entity and the proposed engagement. A professional qualification or federal registration alone is not sufficient evidence of DIFC eligibility.
Can we use the small-company exemption for Corporate Tax too?
A DIFC exemption does not automatically carry across to federal tax requirements. Assess the Corporate Tax position separately before deciding whether audited financial statements are needed.
Can KGRN help if this is our first audit?
KGRN can assess your reporting needs, information readiness and engagement eligibility, then explain the proposed scope and onboarding steps.
What if we are changing auditors or have missed a filing?
Share the outstanding period, previous auditor details and any notice received. We can review the circumstances and explain the work and documentation needed next.
Can you guarantee a clean audit opinion or an accepted filing?
No. The opinion depends on audit evidence and findings. Filing acceptance is determined by the relevant authority. The proposal should explain the work and responsibilities without promising either outcome.
