Ministerial Decision No. 197 of 2026 amends the UAE eInvoicing framework from 1 October 2026. It adds a temporary exclusion for transactions within the same VAT Tax Group, revises invoice-record storage rules, changes Article 6(5) to 14 Business Days and removes the specific system-failure notification provision.

For finance teams preparing for implementation, the main task is to identify which transaction rules, provider arrangements and internal procedures need updating.

The Ministry of Finance announced the amendments on 19 October 2026. That announcement date differs from the decision’s legal effective date of 1 October 2026.

This guide explains the changes in business terms and separates the legal requirements from practical preparation recommendations.

What is Ministerial Decision No. 197 of 2026?

Decision No. 197 amends Ministerial Decision No. 243 of 2025 on the Electronic Invoicing System. It changes selected definitions and provisions rather than replacing the entire framework. Read the original decision together with the amendments.

Provision affected  Amendment
Article 1  Revises the Accredited Service Provider definition, adds VAT-related definitions and deletes System Failure
Article 4  Replaces the exclusions article, including a temporary same-VAT-Tax-Group exclusion
Article 6(5)  Changes the timing wording to 14 Business Days, subject to Article 6(4)
Article 11  Revises retention and accessibility requirements and removes the UAE storage-location wording
Article 12  Repeals the specific system-failure notification requirement

The practical effect depends on your transactions and implementation arrangements. A group with intercompany flows will have different priorities from a standalone business reviewing its invoice archive.

Which VAT Tax Group transactions are temporarily excluded?

Transactions between members of the same VAT Tax Group are excluded for 24 months beginning on 1 January 2027.

The decision’s Tax Group definition refers to persons registered with the FTA as a single taxable person under the VAT Law. It does not refer simply to companies with common shareholders or a shared brand.

Common ownership or Corporate Tax group membership alone does not establish the VAT Tax Group condition. Finance teams should therefore verify the VAT registration position before applying the exclusion.

A practical approach is to document each legal entity, its VAT Tax Group membership and the counterparties involved. This gives the implementation team a reliable basis for classifying transactions instead of applying one setting to every company in the wider group.

What other exclusions remain in the amended article?

The replacement Article 4 also retains specified exclusions for sovereign government activity outside competition with the private sector, certain airline passenger and ancillary services, qualifying international air cargo and specified VAT-exempt or zero-rated financial services. Each has its own conditions. The Minister may determine other excluded transactions and excluded persons.

The air-cargo provision concerns international goods transportation by an Airline where an Airway Bill is issued. Its 24-month period is tied to when the Electronic Invoicing System becomes effective. Do not substitute the VAT Tax Group exclusion’s expressly stated start date.

For businesses with mixed activities, review the actual service and supporting document. A general description such as “logistics” or “financial services” is insufficient to establish that every transaction qualifies.

Article 4 also allows voluntary participation despite an exclusion. In that case, the framework and related decisions apply mandatorily, except decisions concerning violations and administrative penalties. This exception should not be presented as a general penalty exemption for mandatory participants.

Must UAE eInvoice records still be stored in the UAE?

The revised Article 11 removes the requirement in that article to store the relevant records within the UAE. Businesses must still retain Electronic Invoices, Electronic Credit Notes and associated data for the period prescribed under the Tax Procedures Law and produce them to the FTA on request.

This gives businesses more flexibility when evaluating archive arrangements. It does not remove responsibility for preserving usable records.

Before changing your hosting arrangement, ask the provider how your team can retrieve a complete invoice history, including related credit notes. Test access using an older transaction rather than relying only on a demonstration of newly created invoices.

Your contract should also address access after termination, export arrangements and responsibility for responding to record requests. These are recommended commercial controls, rather than new requirements introduced by Decision No. 197.

Other applicable laws, sector requirements and contracts need separate consideration before moving data. The amendment should not be interpreted as unrestricted permission to transfer all business information overseas.

Does every business now have 14 Business Days to invoice?

No. Amended Article 6(5) provides a 14 Business Day issuance and transmission period, but it expressly remains subject to Article 6(4).

Article 6(4) requires an issuer registered for VAT to issue and transmit the Electronic Invoice or Electronic Credit Note within the timeline prescribed by the VAT Law. Accordingly, the amendment is not a blanket extension of VAT invoicing deadlines.

The original decision defines Business Days by excluding weekends and Federal Government official holidays. Its Date of Business Transaction is the earliest of the transaction occurring or payment being received.

Finance teams should have the applicable timing rule confirmed before changing software settings. An invoice date, payment date and transmission date can represent different events in a workflow.

Review the treatment of credit notes as well as sales invoices. A setting that works for ordinary billing may need a different operational process when a transaction is cancelled or adjusted.

What happened to system-failure notification?

Decision No. 197 deletes the System Failure definition and repeals Article 12 of Decision No. 243. The repealed article required issuers and recipients to notify the FTA within two Business Days of a System Failure.

This removes that specific provision. It does not establish that every incident-reporting duty under another applicable instrument or agreement has disappeared.

From an operational perspective, businesses should still know how to identify interrupted invoices, recover processing and reconcile records after service resumes.

Agree who contacts the provider and who confirms that affected invoices have been handled correctly. These recommended controls help prevent missed or duplicated transactions when normal processing restarts.

What changes for Accredited Service Providers?

The revised definition describes an Accredited Service Provider as a provider granted accreditation under the legislation regulating the Electronic Invoicing System. The previous definition specifically referred to Decision No. 64 of 2025.

The decision also adds Taxable Person, covering a person registered or required to register under the VAT Law. This supports the VAT-specific terminology used in the amended framework.

This wording change does not make every accounting platform or software reseller an ASP. Verify provider status using the Ministry’s published information and confirm the legal entity named in your contract.

For practical selection questions, read KGRN’s guide on how to choose an ASP for UAE eInvoicing.

Does Decision No. 197 change UAE eInvoicing deadlines?

Decision No. 197 does not amend the rollout timetable in Decision No. 244 of 2025. The implementation dates come from that separate decision, read with Decision No. 66 of 2026.

In-scope category  ASP appointment deadline  Implementation deadline
Revenue of AED 50 million or more  30 October 2026  1 January 2027
Revenue below AED 50 million  31 March 2027  1 July 2027
Government entities  31 March 2027  1 October 2027

The first row reflects Decision No. 66’s amendment. The remaining dates appear in Decision No. 244. These dates apply subject to the framework’s scope and exclusions.

Decision No. 244 separately defers business-to-consumer transactions, and persons exclusively conducting them, until a Ministerial decision determines otherwise. Businesses with mixed customer types should assess their transaction flows rather than assume one treatment covers everything.

What should finance teams review now?

Start with transaction classification. Confirm which flows qualify for an exclusion, then compare that scope with the settings agreed with your provider.

Next, review archive access, invoice timing and recovery procedures. Record which changes are required by law and which are improvements your business has chosen to make.

Use representative transactions when testing the revised process. An internal group transaction, an external sale and a related credit note can reveal different issues. KGRN’s UAE eInvoicing testing guide explains practical validation areas for finance teams.

Finally, update staff instructions. The people issuing invoices need clear guidance about which process applies, particularly where excluded and in-scope transactions sit in the same accounting system.

Frequently asked questions

When did Decision No. 197 of 2026 take effect?

It took effect on 1 October 2026. The Ministry’s explanatory announcement was published on 19 October 2026.

Are all intercompany transactions excluded from UAE eInvoicing?

No. The new temporary exclusion concerns transactions between members of the same VAT Tax Group, starting on 1 January 2027 for 24 months.

Does the amendment remove record-retention requirements?

No. Relevant invoices, credit notes and associated data must still be retained and available to the FTA on request under the revised Article 11.
